Registering a company in Spain from abroad usually means forming a Sociedad Limitada (SL), and most of the work is done before anyone sits down with a notary. This general information follows the decisions in the order they arise: whether the shares will be held by an individual, a parent company or both; which name the Central Mercantile Registry will clear; which Spanish tax identification numbers the people and companies involved need; how the share capital is paid in; who signs the deed, the founder or a representative under a power of attorney; and what the company must register once the Mercantile Registry has entered it.

For small and medium sized businesses with founders abroad, the SL is a practical starting point: it is commonly used for market-entry subsidiaries, trading and consulting companies, e-commerce businesses and holding structures, and it is the form banks, suppliers, platforms and the tax authorities already know how to handle. The decision that shapes the company is who holds it. With an individual shareholder, the preparation concerns only the people involved. A foreign parent company suits a group that wants a Spanish subsidiary or a holding layer, but the parent has to be identified and evidenced in Spain in its own right, which adds steps before the notary. A mix of both carries both sets of steps.

Who the incorporation file is really for

A Spanish incorporation file answers two sets of questions. The notary and the Mercantile Registry need to know who is signing and with what authority. EU anti-money-laundering law adds a second question, who is ultimately behind the company: notaries and company service providers are obliged entities in their own right, and a company must hold accurate information on its beneficial owners, traced through any corporate shareholder until it reaches the individuals who own or control it. That is why a parent company brings its own layer of proof, and why a bank or compliance reviewer can ask where the funds came from. The notary, the bank or the registry may still ask for more after reviewing the file.

Why the tax numbers come before the notary

Part of this list applies only when a company, rather than an individual, holds the shares; the rest concerns the individuals involved and the Spanish address. What does not change is the deadline: all of it is settled before a signing date is set. The Spanish tax identification numbers are needed early, because a foreign shareholder, director or signatory generally cannot appear in the incorporation documents without one. The name must also be cleared by the Central Mercantile Registry before the deed is signed, and several alternatives are usually prepared because the registry checks them in sequence. The registered address is not a formality either: corporate records, official notices and tax administration all run through it.

How a new SL should read the tax figures

The general rate in the panel is not necessarily what a new SL pays. Spain has a reduced rate for newly created companies, and it follows the first profitable tax periods rather than the first years after incorporation, so a start that makes losses does not use it up. The non-resident dividend rate applies at source to profit paid to a foreign shareholder, and any treaty relief depends on that shareholder's own facts; a parent company in another member state may instead fall under the EU parent-subsidiary rules. One number the panel does not show is misread too: a Spanish VAT number that is valid at home can still fail a VIES check until it is activated for intra-EU transactions.

What follows the Mercantile Registry entry

Entry in the Mercantile Registry gives the SL full legal personality and makes its details public, but it is not the last step. A second round follows. Confirm who will use the digital certificate for online filings. Then the company obtains or confirms its definitive tax number, registers its tax obligations with the Spanish Tax Agency, activates VAT where its economic activities require it, and registers with Social Security once it hires. Depending on who invested and how, a foreign investment declaration may also be due after incorporation. The one thing to do next is to put that second round on the calendar the day the registration comes through, so that the company can operate cleanly from its first transaction.
